Terms of Service
These Terms of Service (“Terms”) are an agreement between you and Sylvadi Design Inc. (“Sylvadi,” “we,” “us”), an Ontario corporation that operates Expense Pools. By creating an account or using the service, you agree to these Terms and acknowledge the Privacy Notice. If you do not agree, do not use the service.
1. The service
Expense Pools helps groups record shared expenses, calculate balances, create non-binding payment requests, record settlements, and carry balances into another pool. It is an organizational tool, not a bank, payment processor, money-transfer service, lender, accountant, tax adviser, or legal adviser. Expense Pools does not hold or move money, verify that a real-world payment occurred, or guarantee that another person will pay a balance.
2. Eligibility and accounts
You must be at least 15 years old and legally capable of accepting these Terms. If applicable law requires the involvement or consent of a parent or guardian, you may use the service only with that valid involvement or consent. You must provide accurate information, keep your credentials secure, and promptly report unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise.
3. Pools, groups, guests, and invitations
Pool and group owners and administrators control membership, roles, guest participants, and certain shared records. Invitations grant access only after the recipient accepts using the matching verified email address. You may invite a person or enter information about a guest only when you are authorized to do so and have a legitimate shared-expense purpose. Do not use invitations or guest profiles for harassment, impersonation, fraud, spam, or any unlawful purpose.
Removing a member can require affected transactions and splits to be reviewed or reassigned. The service may prevent removal until required corrections are completed. Owners and administrators are responsible for reviewing the result before confirming changes.
4. Shared records and your content
You retain any rights you have in information you submit. You grant Sylvadi a limited, non-exclusive licence to host, process, display, reproduce, and transmit that information only as needed to operate, secure, and support the service. Information entered into a pool or group can be visible to its members. Members should agree on what to record and how to resolve disputes. Calculations depend on user-supplied information and may require correction when that information is incomplete or inaccurate.
5. Acceptable use
- Do not compromise accounts, bypass access controls, scrape private data, or probe the service without written authorization.
- Do not upload unlawful, deceptive, infringing, malicious, or privacy-invasive content.
- Do not use invitations, automation, or exports for spam, surveillance, harassment, or abusive activity.
- Do not interfere with the service, introduce harmful code, or place unreasonable load on it.
- Do not use Expense Pools to facilitate unlawful financial activity or misrepresent its records as verified proof of payment.
6. Availability, changes, and suspension
The service may change, experience interruptions, or temporarily enter maintenance or read-only mode. We may restrict or suspend access when reasonably necessary to protect users or the service, investigate suspected misuse, comply with law, or address a breach of these Terms. Where appropriate, we will provide notice and an opportunity to correct the issue. Material changes that affect user rights will be communicated as required by law.
7. Export, account closure, and shared history
You can prepare an account export and request account deletion from the Account area. Deletion signs you out, revokes credentials, removes or de-identifies direct account information, disables memberships, and transfers or closes resources that require an owner. Because pool records form a shared ledger, transactions, splits, settlement records, and related history needed by other members may remain with your participant identity de-identified. Some information may also be retained where required by law or reasonably needed for security, disputes, or legal claims. See the Privacy Notice for details.
8. Disclaimers
To the maximum extent permitted by law, Expense Pools is provided “as is” and “as available.” We do not warrant that calculations, user-entered records, payment requests, exports, or settlement records are complete, accurate, legally sufficient, or suitable for tax, accounting, lending, or evidentiary purposes. You remain responsible for reviewing records and independently completing any payment.
Nothing in these Terms excludes warranties, remedies, or other rights that cannot lawfully be excluded or limited, including mandatory consumer rights that apply where you live.
9. Limitation of liability
To the maximum extent permitted by law, Sylvadi and its directors, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or opportunities arising from the service. For claims that may lawfully be limited, our aggregate liability arising from the service will not exceed the greater of CAD $100 and the amount you paid Sylvadi for the service during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.
10. Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules, while preserving any mandatory consumer protections and jurisdiction rights that apply where you live. Before starting formal proceedings, you and Sylvadi agree to make a reasonable good-faith effort to resolve the concern through contact@sylvadi.com, unless the law permits or requires otherwise.
11. General terms
If part of these Terms is unenforceable, the remaining parts continue to apply. Our failure to enforce a provision is not a waiver. You may not transfer your account or these Terms without our consent. We may transfer these Terms as part of a merger, reorganization, financing, or sale of the service, subject to applicable law. These Terms and the documents they incorporate are the entire agreement about the service.
